TERMS AND CONDITIONS

These Terms and Conditions ("Terms") are entered into by and between Terra Verd, LLC, D.B.A. Hi From Business Camp® ("Company," "Terra Verd," "Hi From Business Camp"), and its users and visitors to the website or Service ("Services"), and together with the Privacy Policy and, where applicable, the Membership Agreement, govern those persons' access to the Services and any content or functionality of the Services, whether as a visitor, User, or Member.
All references to "member," "user," "you," or "your," as applicable, mean the person who accesses, uses, and/or participates in the Service in any manner. If you use the Service on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that entity to these Terms.
BY ACCESSING OR USING THE SERVICE, YOU AGREE TO COMPLY WITH AND BE BOUND BY THESE TERMS, WHETHER OR NOT YOU BECOME A REGISTERED USER OF THE SERVICE.
1) Relationship to the Membership Agreement
If you enroll in HFBC membership, including access to the Learning Library, educational assessments, or a Cabin accountability space, your participation is also governed by the HFBC Membership Agreement, which you must separately accept. Where these Terms and the Membership Agreement conflict on a matter specific to membership, including membership fees, cancellation, refunds, Cabin conduct, and licensing of HFBC Materials, the Membership Agreement controls. These Terms govern general use of the website and Services not specifically addressed in the Membership Agreement.
2) Eligibility
You must be at least 18 years old to create an account or access the Services. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.
3) No Professional or Legal Advice; No Guaranteed Outcomes
All Content is for informational purposes only and is not intended to provide, and should not be construed as, legal, regulatory, tax, financial, accounting, employment, medical, psychological, or other professional advice. You are solely responsible for ensuring your compliance with applicable law. Nothing in our Content, website, or Services should be construed as, or used as a substitute for, the advice of competent professional counsel. Additional disclosures specific to HFBC's educational assessments and Cabin spaces are set forth in the Membership Agreement.
4) Your Personal Data Rights
How we use your data and your data privacy rights are covered under our Privacy Policy (hifrombusinesscamp.com/privacy-policy), which is incorporated into these Terms.
5) Service
Terra Verd offers business consulting, mentorship, and educational membership services, including the HFBC Learning Library, as well as related digital products ("Services"). To access most Services on a permanent basis, you must have an account. The Company may offer temporary previews of certain Services without an account. You are responsible for maintaining the confidentiality of your login credentials.
a) Third parties. We may use third-party platforms to facilitate our Services, including Stripe for payment processing. The HFBC platform itself is built and maintained by Ruoom, Inc., an affiliated company under common ownership with Terra Verd, LLC. Any relationship you enter into with an unaffiliated third party arising from information received through the Company is solely between you and that third party. Company is not a party to those agreements.
b) The price and payment procedures applicable to each Service are made available on the Service.
c) All prices stated include all relevant local taxes unless otherwise noted.
6) Fees
For HFBC membership fees, billing cycles, cancellation, and refunds, see the Membership Agreement, which controls over this Section for membership matters. For other Services or one-time digital products purchased through the Company, the following applies: when you agree to purchase a product or service, you authorize us to bill your payment method for all charges due. We reserve the right to revise pricing for such products or services at any time, with at least 30 days' advance notice before revised pricing applies to you, or such longer notice as required by law.
a) Payment authorization. We may seek pre-authorization of your payment method prior to a purchase to verify that it is valid and has sufficient funds or credit available. You authorize us to charge all sums described in these Terms, or in the Membership Agreement, to your provided payment method.
7) Conditions of Access
You shall (a) abide by these Terms, our Privacy Policy, and, if applicable, the Membership Agreement; (b) not engage in fraudulent behavior; and (c) not take any action likely to hinder the operation of the Services or scrape data from them.
8) Accounts
To use the Services, you must create an account by providing your email address and a password (together, your "Credentials"). You are responsible for the security of your account and agree to keep your Credentials confidential. Your account is solely for your use; you will not share your account or Credentials with anyone.
a) Account security. You are responsible for following instructions we provide regarding use of the Services and for maintaining any accounts with third-party providers you use in connection with the Services. You accept all risks of unauthorized use of your account arising from your failure to safeguard your Credentials. If you believe your account has been compromised, notify us immediately. We reserve the right to restrict access to the Services if we have reason to believe your account has been compromised.
9) Membership Service Plans
HFBC membership plans, including pricing, billing cadence, upgrades, downgrades, and cancellation, are governed by the Membership Agreement. Certain non-membership Services may be offered separately and are governed by this Section 9 and the general terms of this Agreement rather than the Membership Agreement.
10) Termination and Suspension
You may cancel your account at any time from within your account settings. For HFBC membership, cancellation and its effect on billing and access are governed by the Membership Agreement. For other Services, unless otherwise stated, cancellation does not entitle you to a prorated refund for the then-current billing period.
a) Company's actions. We may terminate or suspend Services if you violate this Agreement or any other applicable Terra Verd terms, including the Membership Agreement, or if your use of the Services is improper, raises suspicion of fraud or misuse, or poses a security concern.
b) Termination of Services or this Agreement will not affect rights or obligations arising from transactions that occurred before termination. Sections of this Agreement that by their nature should survive termination will survive, including payment obligations, privacy rights and obligations under our Privacy Policy, use restrictions, indemnity obligations, warranty disclaimers, and limitations of liability.
11) Content Rights and Licenses
The Services, and all Content other than User Content, including all software used to create and operate the Services, remain the property of Company and are protected under the Copyright Act of 1976, as amended, and other applicable intellectual property laws. All rights not expressly granted are reserved. For HFBC members, additional and more specific licensing terms governing HFBC Materials, including Learning Library content, frameworks, assessments, and templates, are set forth in the Membership Agreement, which controls for membership content.
a) All trademarks and service marks displayed on the Services are the property of their respective owners. You must not use such marks without prior written permission.
12) Limited License to Copy Content
Company grants Users a limited, revocable, non-exclusive, non-sublicensable license to access the Services and to view, copy, and print portions of the Content made available to Users, subject to these Terms. Users may not modify, create derivative works of, reproduce, distribute, or publicly display the Services or Content except as expressly permitted here or in the Membership Agreement. Users may not remove copyright, trademark, or other proprietary notices from the Content. Company may revoke this license at any time.
13) Intellectual Property
Users may not transmit or use User Content that infringes or makes unauthorized use of another party's copyright, trademark, or other intellectual property rights. We will respond to legitimate requests under the Digital Millennium Copyright Act (17 U.S.C. § 512) and trademark law and retain the right to remove infringing Content upon notice from the rights holder or their agent.
14) Assumption of Risk
You are solely responsible for ensuring your use of the Services complies with applicable law and does not violate the rights of any third party. You assume all liability for claims arising from your use of the Services. Additional assumption-of-risk terms specific to HFBC's educational assessments, reflection exercises, and Cabin participation are set forth in the Membership Agreement.
15) Warranty Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE, SERVICES, AND CONTENT ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND. COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, DATA LOSS, AND NON-INFRINGEMENT. COMPANY MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR EXPECTATIONS, BE ERROR-FREE, OR BE UNINTERRUPTED.
16) Indemnity
You agree to indemnify and hold harmless Company and its officers, directors, employees, successors, assigns, representatives, subsidiaries, affiliates, and agents from claims, damages, expenses, and demands, including reasonable legal fees, arising out of or related to your access to, use of, or participation in the Services, your violation of this Agreement or the Membership Agreement, your violation of any third-party right, or your violation of applicable law.
17) Limitation of Liability
To the extent permitted by law, Company is not liable for damages arising from User Data, your delay or failure to provide information necessary for the Services, your violation of applicable law, unauthorized use of your account, or your inability to use the Services. Neither Company nor any party involved in creating or delivering the Services will be liable for incidental, special, exemplary, or consequential damages, including lost profits or loss of data, arising out of or in connection with this Agreement. To the maximum extent permitted by law, Company's total liability for claims arising out of or in connection with this Agreement will not exceed the amounts you have paid to Company in the six months preceding the event giving rise to the claim. For HFBC membership specifically, the liability terms in the Membership Agreement control.
18) Dispute Process
a) Contact us. You agree to contact us with your complaint before initiating arbitration.
b) Time to file. Any dispute must be commenced within one year of the date the dispute arose, or the underlying claim is permanently barred.
c) Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, conducted in English and taking place in Texas unless otherwise required by law. You may also litigate a dispute in small claims court located in the county of your billing address if the dispute qualifies. Disputes shall be resolved individually, not through class, collective, or representative proceedings, to the maximum extent permitted by law.
19) Assignment; Delegation
These Terms may not be transferred or assigned by you without our prior written consent, which will not be unreasonably withheld. We may use vendors or contractors to help provide the Services and may change our use of vendors without notice, but will remain responsible for their acts and omissions.
20) Governing Law
These Terms will be governed by the laws of the State of Delaware, exclusive of its conflict-of-laws rules. These Terms will not be governed by the United Nations Convention on Contracts for the International Sale of Goods. Disputes not subject to arbitration under Section 18 will be subject to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.
21) Notices
We may provide notifications via email, text message, mail, or posting on the Services, as we determine appropriate. Notices to Terra Verd should be sent to the attention of the "Legal Department" at Terra Verd, LLC, 823 Congress Ave #1741, Austin, TX 78701-9998, with a copy to info@hifrombusinesscamp.com.
22) Waiver
No waiver of any right is effective unless made in writing by both parties, and applies only to the specific provision and circumstance for which it was given.
23) Relationship
Nothing in these Terms creates any partnership, agency, employment, or joint venture between the parties. Neither party has authority to bind the other.
24) Unenforceability
If a court determines any provision of these Terms is unenforceable, that provision will be enforced as nearly as possible to its stated intent, and the remainder of these Terms will remain in full force and effect.
25) Force Majeure
Neither party will be deemed in breach for any delay in performance due to causes beyond its reasonable control, including natural disaster, labor dispute, civil disturbance, terrorism, war, or changes in applicable law.
26) Entire Agreement
These Terms, the Privacy Policy, and, for members, the Membership Agreement together comprise the entire agreement between you and Terra Verd with respect to their subject matter, and supersede all prior proposals, statements, or agreements. No oral or written information given by Company or its agents will create a warranty or expand the scope of the warranties in these Terms.
27) Electronic Transmission
This Agreement, and any amendments, shall be treated as an original contract regardless of the electronic means used to deliver or accept it, and neither party will argue otherwise.
28) Changes to Services
Company may modify this Agreement at any time, effective upon posting of an updated version. Your continued use of the website or Services after changes are posted constitutes your agreement to the modified Agreement. Company may change or discontinue all or part of the website or Services at any time without notice or liability.
